These terms

These terms are an agreement between you (the business using Kade, and the person accepting on its behalf) and Amiciti Solutions ("we", "us"), the maker of Kade. They cover the Kade desktop software, its licence, our support, and the website kadeonline.com. By installing Kade, buying a licence or using the website you agree to them. If you accept for a business, you confirm you are allowed to.

Our Privacy Policy explains what information we keep and why.

The free trial

You can use Kade free for 90 days with all features. After the trial Kade becomes read-only: you can still view everything, run reports, export your data and back it up, but not record new sales until you activate a licence. Your data is never locked away from you.

Your licence

A licence costs $199, paid once. When you buy one, we grant your business a permanent, non-exclusive, non-transferable right to install and use Kade for its own operations on up to 10 PCs at a time. The licence does not expire: the version you have keeps working forever, even after support ends.

The licence belongs to the business named on it. You may not resell, rent, lend or sublicense Kade, or use one licence for several unrelated businesses. If your business is sold, write to us and we'll move the licence to the new owner.

PCs and moving them

To replace a PC, add the new one, remove the old one and restore your latest backup. You can do this yourself up to your licensed PC count (10) within any rolling 12 months; after that, contact us for a licence re-issue. If you need more than 10 PCs, get in touch and we will agree a price for the extra PCs.

Paying

Prices are in USD and shown on the pricing page. You pay through PayPal, and PayPal's own terms apply to the payment. Prices include no taxes your country may charge on imported software or services; where those apply, you are responsible for them. We may change prices for future purchases, never for one you have already paid.

Refunds

Because the trial lets you try everything first, we hope you won't need one. But if Kade isn't right for you, ask within 30 days of paying and we'll refund you in full, licence or renewal, no questions asked. When a licence is refunded we revoke it, and you agree to stop using it beyond the read-only mode.

This does not take away any right you have under consumer law where you live. If you open a chargeback for a payment we have not refused to refund, we may revoke the licence.

Support, updates and changes

Your licence includes the first year of support from the day you pay. During support you get updates and new versions, help by email and WhatsApp, and we handle reasonable change requests for your business. Larger features are scoped together first, and we agree with you what they include and when; we may decline a request that would not suit Kade or other customers.

After that, Kade keeps working and you keep every update you installed. Support and updates can be renewed at $49 for 1 year. A renewal starts when the current support period ends; if it has already lapsed, it starts on the day you pay.

Help is given on a best-effort basis, usually within a working day or two. Support does not include fixing problems caused by your hardware, network, other software, or changes made outside Kade.

Your data and backups

The data you put into Kade is yours and stays on your PCs. We have no copy of it and no access to it. You are responsible for keeping backups and protecting your PCs; Kade gives you the tools to back up to a drive, a network folder or your own Google Drive, and to export your data at any time. You are also responsible for using Kade in a way that complies with the laws that apply to your business, including tax, invoicing and data protection laws.

Kade helps with records such as receipts, taxes and accounts, but it is not professional advice. Check your tax settings and reports with your accountant.

Fair use

You agree not to:

  • get around licence checks, or share licence keys or files outside your business;
  • copy, modify, decompile or reverse-engineer Kade, except where the law allows it despite this term;
  • use Kade or the website for anything unlawful, or to harm others;
  • overload, probe or attack the website, licence server or update server, or send automated form submissions.

Who owns what

Kade, the website, the Kade name and logo, and everything we make for you, including changes made at your request, belong to Amiciti Solutions; you get the right to use them under your licence. We may include changes we made for you in Kade for everyone, but never your data or anything that identifies your business. If you send us ideas or feedback, we may use them freely.

Other services

Some features rely on services we don't run, such as PayPal for payments, Google Drive for cloud backups, WhatsApp for messages, and printers and payment devices. Their own terms apply to them, and we are not responsible for their availability or changes.

What we promise, and what we don't

We promise that Kade will work substantially as described on this website, and that we will try hard to fix bugs you report during support. Beyond that, and as far as the law allows, Kade is provided "as is": we don't promise it will be free of errors or never stop, or that it suits every business. That's why the trial exists, so you can check it suits yours first.

Limits on our liability

As far as the law allows:

  • we are not liable for lost profits, sales, business or data, or for indirect or consequential losses;
  • our total liability to you for anything related to Kade is limited to what you paid us in the 12 months before the claim.

Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud, or for death or injury caused by negligence.

Ending the licence

You can stop using Kade at any time. We may revoke a licence if it was refunded or charged back, or if you seriously break these terms and don't put it right within 30 days of our email asking you to. If a licence ends, you can still open Kade read-only and export your data, so it is never held hostage. The sections on data, ownership, liability and law continue to apply after a licence ends.

Law and disputes

These terms are governed by the laws of Sri Lanka. If there's a problem, please write to us first; most things can be solved quickly. If not, the courts of Sri Lanka decide, unless the law where you live gives you the right to go to your own courts.

General

These terms, with any written agreement we make with you about larger changes, are the whole agreement about Kade. If a part of them can't be enforced, the rest still applies. We aren't liable for delays caused by things outside our control. We may update these terms; the date at the top shows the latest version, and changes apply to purchases and renewals made after that date. Your licence keeps the rights you paid for.
